New Securities Laws Take Effect
A raft of new securities laws will come into effect on 29 February, making investment advisers and brokers subject to a new disclosure regime, requiring a more extensive disclosure of information including fees and interests, that will be enforced by the Securities Commission.

Speaking on TV One's "Breakfast Business", Securities Law expert and Hesketh Henry partner, Frank Chan, explained the new rules will govern market manipulation, prohibiting misleading and deceptive practices affecting trading in listed securities that until now have not been formally regulated in the NZ market.

"The new Securities Laws will basically bring New Zealand in to line with the rest of our economic partners," said Frank.

Insider trading laws have also been extensively changed, widening their scope and introducing criminal liability.

Directors of listed companies will no longer be able to trade during safe harbour periods- they must put their shares into a share trading plan outside their control.

The rules affecting disclosure of interests in listed issuers have also been modified, with the Securities Commission able to require disclosure.
