John is a partner in the Corporate and Commercial
Team and his principal areas of practice are commercial and
business law.
He advises New Zealand and off shore companies on mergers and
acquisitions, joint ventures, corporate governance and
regulation and provides other general and specialised legal
advice in various industry sectors.
In recent years he has focused on issues associated with
business succession and ownership transition, particularly as it
relates to SME companies. John leads Hesketh Henry's business
succession team. He has written numerous articles and presented
conference and seminar papers on this subject as well as having
a hands on involvement in numerous business succession matters.
John also advises banks, financial institutions, financial
services underwriters and other corporates on a range of issues
including corporate finance, development finance, mezzanine
funding, domestic and commercial lending programmes, loan
portfolio acquisitions and divestments, trade finance and
factoring programmes, risk allocation, insurance and associated
matters.
He has considerable experience in documenting and establishing
lending programmes, and acted for Rabobank on the documentation
and establishment of its New Zealand domestic lending programme.
He also acted in the documentation and establishment of the
factoring programme for another leading New Zealand business
financier.
John has been involved in numerous high profile transactions
including acting for The Warehouse Limited in its joint venture
launch of The Warehouse Financial Services Limited with Westpac
Banking Corporation. More recently he acted for a syndicate of
United Kingdom banks on the New Zealand funding aspects of the
acquisition of significant media, television and film company
interests.
John is a member of the Banking and Financial Services Law
Association (BFSLA) of Australasia.
